Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BizPing, a WhatsApp Business messaging platform operated by DT International (“Company,” “we,” “us,” or “our”), including our website, dashboard, API, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

The Service is intended for business use. You must be at least 18 years old and authorized to bind your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your workspace.

2. Workspaces and team access

Each workspace is controlled by an owner who may invite members. Owners are responsible for managing roles, permissions, and compliance with these Terms by all workspace users.

3. Acceptable use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or messages without proper consent
  • Violate applicable law, including data protection and telecommunications regulations
  • Violate Meta's, WhatsApp's, or any third party's terms and policies
  • Transmit harmful, fraudulent, abusive, or illegal content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Reverse engineer, scrape, or overload the Service beyond reasonable use

4. WhatsApp and Meta compliance

The Service integrates with the WhatsApp Business Platform (Cloud API) operated by Meta. You are solely responsible for complying with Meta's and WhatsApp's business policies, including obtaining valid opt-in from message recipients, using approved templates where required, and maintaining an active payment method in Meta Business Manager for production sending.

We may suspend or terminate access if Meta restricts your WABA, phone number, or app permissions, or if we detect policy violations.

5. Customer data and responsibilities

You retain ownership of data you upload to the Service, including contact lists and message content. You represent that you have the legal right to collect, use, and message End Contacts. You grant us a limited license to process your data solely to provide and improve the Service.

6. Phone number connection

You may connect WhatsApp numbers via Meta Embedded Signup or manual registration (where enabled). You are responsible for the accuracy of credentials you provide and for securing access to your Meta Business assets. Tokens and credentials are encrypted at rest but you must protect your account access.

7. Service availability

We strive to maintain reliable uptime but do not guarantee uninterrupted or error-free operation. The Service may be modified, suspended, or discontinued with reasonable notice where practicable. Scheduled maintenance and factors outside our control (including Meta API outages) may affect availability.

8. Fees

WhatsApp message delivery costs are billed by Meta according to your Meta Business account. Any fees charged by DT International for the Service, if applicable, will be communicated separately. You are responsible for all Meta and carrier charges associated with your use.

9. Intellectual property

The Service, including its software, design, and documentation, is owned by DT International and its licensors. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DT INTERNATIONAL AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless DT International from claims arising out of your use of the Service, your data, your messages, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, pose a security risk, or if required by law or Meta. Upon termination, your right to use the Service ceases, but sections that by nature should survive will remain in effect.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the updated date above. Continued use after changes become effective constitutes acceptance.

15. Governing law

These Terms are governed by the laws applicable in the jurisdiction where DT International operates, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction, unless otherwise required by mandatory local law.
